Terms and Conditions
The following are Cavalletti Communications’ Terms and Conditions. Please read them carefully, doing so will only take a moment. They provide clarification in the unlikely event of a dispute. We highly value our clients’ confidence in us: should there be anything you are unsure about in our Terms and Conditions, please do not hesitate to contact us.
Validity of Fee Proposals Our proposals are valid and accurate for 14 days from date of issue. Variations may apply on sighting of unseen materials, changed client requests and requirements, or any other new elements directly or indirectly introduced into the process by the client.
Confirmation and Commencement of a Project Before we can start a project, we require your written confirmation by email or physical mail commissioning us to work for you, stating the project and fee proposal you are referring to. For larger projects, we require you to sign our service agreement. With this, you do confirm that you have read, and agree to, our Terms and Conditions.
The Contract If you are contracting us on behalf of any group of individuals or company, i.e. other than for yourself alone, you warrant that you are authorised to enter into a contract on behalf of that group of individuals or company. If you hire us to work on a project for one of your own clients, a contract will exist only between Cavalletti Communications and you, i.e. not between us and any client of yours. You agree to indemnify Cavalletti Communications against any claim by any client of yours for compensation or damages brought about as a direct or indirect consequence of the use, or inability or unwillingness to use, the material I provide to you. If you require Cavalletti Communications to work on a project for one of your clients, but ask us to contract directly with that client, then a contract, subject to agreement, will exist between your client and Cavalletti Communications directly, and you acknowledge that Cavalletti Communications is free to conduct and further develop a direct relationship with that client without reference to you, and without compensation or commission of any kind being payable. In such a case, we affirm that Cavalletti Communications will not knowingly seek to sell to your client services, other than copywriting and branding services, which they have at any time previously purchased from you.
Our Process At Cavalletti Communications we pride ourselves in delivering high-quality work in a time- and cost-effective manner. In order to be able to provide this service, we ask your assistance. To support us in delivering your projects on time, we require all supporting documentation and information to be provided as agreed before commencing the project. This will avoid time wasted and improves cost-effectiveness for you. Once you provide us with confirmation for commencement on any fee proposal project element, we will confirm each process, timeline and delivery date. Please send all relevant information, including all marketing materials and forms, brand guidelines and briefs as electronic documents via email, or, if required, by post to PO Box 1052, Potts Point, NSW 1335, Australia. Our ability to meet your deadlines is based on your providing all necessary information and approvals in a timely manner in accordance with the timeline and process agreed. Failure to supply feedback or information when required may cause delays in completing a piece and an extension to any time lines previously agreed on.
Your Satisfaction, Our Guarantee We want you to be entirely happy with the work we do for you. However, writing is not an exact science. Judgment and assessment can be subjective; misunderstandings are possible. So if you see something you are not satisfied with, whatever the reason, please discuss it with us and we will do our utmost to resolve your concerns. Our aim is to do an outstanding job for you, at the agreed fee and conditions, and to leave you completely satisfied with the outcome of our work.
Our Fees Our rates attract Goods and Services Tax (“GST”) in Australia. We invoice in 15-minute increments if an hourly rate has been agreed. Our minimum engagement period is three hours, unless otherwise agreed, e.g. as part of a project extension. Our initial phone consultation, or, where offered, face-to-face time of 45 minutes plus travel within the Sydney metropolitan area, is provided free of charge. At our discretion, initial meetings that are not part of an agreed project package or exceed 45 minutes, additional pre-project meetings, or travel-time outside the Sydney metro area will be charged at our current hourly rate plus GST. Emergency turnaround requirements of less than 72 hours, and overtime rates – i.e. anything over an 8 hour day, work on a public holiday or weekend work – carry a 40% levy on hourly rates plus GST.
Payment Terms Unless otherwise agreed, a first instalment of 50% of the total project fee (incl. GST) is payable to commence any project exceeding an estimated cost of $500 + GST. The remaining 50% of the agreed fee (incl. GST) will be invoiced on completion of the project. Projects with a total estimated fee below $500 ex-GST will be invoiced upon completion of the project. Payment for a finished project is required 7 days from date of invoice. Payment can be made via cheque, cash or bank transfer, using the banking details provided on our invoice to you.
Late Payment Like you, we need to earn a living. Where payment is not received within 5 working days of the due date shown on the invoice, we reserve the right to charge compounding interest at a rate of 10% per annum on all overdue amounts. A late-payment compensation payment may also be due at our discretion.
Cancellation If you terminate a project prior to completion, you agree to pay Cavalletti Communications for all hours worked on said project to date, at our current hourly rate, plus GST. For long-term contracts, 75% of the agreed entire minimum contract length value plus GST are payable, calculated at the conditions and highest daily or weekly hours agreed or worked prior to cancellation. You agree to absolve us of all responsibility for any loss of income or for any costs or damages suffered by you or by any third party as a result of any delay that has been caused to your business or to the business of any third party due to your cancellation of the project.
Non-Disclosure and Confidentiality Agreements Cavalletti Communications complies with the national privacy legislation. The parties agree that no information will be released without consent of the other party.
Collaboration with Other Copywriters and Subcontractors When you contract Cavalletti Communications to write for you, you acknowledge that I, Daniela Cavalletti, may, from time to time, engage the services of other competent professionals to help me deliver all or part of the work which you require. In such a case, I undertake to review and amend the work before it is presented to you, and ensure that the work is of the quality and professionalism you would expect had I myself produced it in its entirety.
Copyright When you commission us to write copy for you, you are purchasing the copyright in the work we produce. This copyright is assigned to you upon receipt of full and final payment of all fees due to us. We reserve the right to use extracts of the copy, or other parts of work created for you, in the promotion of Cavalletti Communications. If you send us research or sample copy taken from someone else’s printed collateral or site as an indication of what you wish to achieve, you indemnify Cavalletti Communications against any action arising, directly or indirectly, as a result of use of this content as reference material.
Errors and Literals We will do our utmost to ensure that all materials supplied to you are free of literal and spelling errors. However, you agree that you are responsible for final proofreading, and indemnify Cavalletti Communications against any costs arising from the appearance of such errors in any printed or published form. While we make every attempt to make sure that our work complies with the law, it is your responsibility to submit all copy for legal review.
Liability Disclaimer Our work is based on your instructions to Cavalletti Communications. Even though we will at times make suggestions, and may give advice, you accept that Cavalletti Communications cannot be held for the success or failure of your use and application of our work.
Force Majeure Cavalletti Communications shall not be liable for any failure or delay in supply or delivery of any products or services where such failure or delay is wholly or partly due to any cause or circumstances whatsoever outside of our reasonable control – including but not limited to power outages, failure attributable to hosting suppliers, theft, vandalism, strikes, industrial disputes, government restrictions or transport delays, floods, fire, riots, or accidents of any kind.
Jurisdiction In the event of litigation between you and Cavalletti Communications as the parties to a contract, the only competent court is the New South Wales Supreme Court, and the parties agree to submit to the jurisdiction of that court.
Changes to Terms and Conditions Our Terms and Conditions may be amended at any time without specific notice to you. Please always refer to the terms and conditions page on our website for the most up-to-date version.
